1. Agreement to Terms

By accessing or using HTP Systems ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and AEO Agency LLC ("Company," "we," "us," or "our").

• Subaccount provisioning for clients

3. Account Registration & Eligibility

To use HTP Systems, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion.

4. Subscription Plans & Billing

HTP Systems offers the following subscription tiers:

Usage-Based Fees

Certain features incur additional usage-based charges:

Billing Terms

• Subscriptions are billed monthly in advance
• Payment is due upon subscription activation
• Failed payments may result in service suspension
• You authorize recurring charges to your payment method

5. Acceptable Use Policy

You agree NOT to use HTP Systems to:

• Send unsolicited bulk emails (spam) or violate CAN-SPAM, GDPR, or similar laws
• Engage in fraudulent, deceptive, or illegal activities
• Distribute malware, viruses, or harmful code
• Infringe upon intellectual property rights
• Harass, threaten, or harm other users
• Collect data without proper consent
• Resell access without authorization
• Attempt to reverse engineer or exploit the platform
• Promote illegal products, services, or content
• Violate any applicable laws or regulations

6. Intellectual Property

All content, features, and functionality of HTP Systems—including but not limited to text, graphics, logos, software, and documentation—are owned by AEO Agency LLC and protected by intellectual property laws.

You retain ownership of content you create using the platform. By uploading content, you grant us a license to host, display, and distribute that content as necessary to provide our services.

7. Third-Party Services

HTP Systems integrates with third-party services including but not limited to:

• GoHighLevel (underlying infrastructure)
• Stripe (payment processing)
• Twilio (SMS/phone services)
• Various email service providers
• Social media platforms

Your use of third-party services is subject to their respective terms and policies. We are not responsible for third-party service interruptions or policy changes.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• HTP Systems is provided "AS IS" without warranties of any kind
• We do not guarantee uninterrupted or error-free service
• We are not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount you paid in the 12 months preceding the claim
• We are not liable for data loss—you are responsible for maintaining backups

9. Indemnification

You agree to indemnify and hold harmless AEO Agency LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of third parties
• Content you create, upload, or distribute

10. Account Termination

By You: You may cancel your subscription at any time through your account settings or by contacting support. Access continues until the end of your current billing period.

By Us: We may suspend or terminate your account for:

• Violation of these Terms
• Non-payment of fees
• Suspected fraudulent activity
• Extended inactivity
• Any reason at our sole discretion with notice

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Arkansas, United States. Any disputes shall be resolved through binding arbitration in Arkansas, except where prohibited by law.

You waive any right to participate in class action lawsuits against AEO Agency LLC.

13. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.

The HTP Systems Affiliate Program allows you to earn commissions by referring new customers to our platform. By participating, you agree to the terms outlined in this Agreement.

2. Eligibility Requirements

To participate in the Affiliate Program, you must:

• Be at least 18 years of age
• Have a valid HTP Systems account in good standing
• Provide accurate payment information for commission disbursement
• Comply with all applicable laws and regulations
• Agree to these Affiliate Agreement terms

3. Commission Structure & Payments

Payment Terms

• Recurring Commissions: Paid monthly for as long as the referred customer maintains an active subscription
• Cookie Duration: 90 days from initial click
• Minimum Payout: $50 USD
• Payment Schedule: Commissions paid on the 15th of each month for the previous month
• Payment Methods: PayPal, Stripe, or direct bank transfer
• Holdback Period: 30 days from sale to account for refunds

4. Promotional Guidelines

You MAY:

• Promote HTP Systems on your website, blog, or social media
• Share your affiliate link via email to your own subscribers
• Create honest reviews and tutorials
• Use approved marketing materials we provide
• Disclose your affiliate relationship (required by FTC)

You MAY NOT:

• Use spam, unsolicited emails, or deceptive marketing practices
• Make false or misleading claims about HTP Systems
• Bid on branded keywords (e.g., "HTP Systems," "High Ticket Purpose") in paid advertising
• Use cookie stuffing, forced clicks, or fraudulent attribution methods
• Create fake reviews or testimonials
• Impersonate HTP Systems or its representatives
• Promote on coupon/deal sites without approval
• Self-refer or create accounts solely for commission

5. Tracking & Attribution

• Referrals are tracked via unique affiliate links and cookies
• Cookie duration is 90 days from initial click
• Last-click attribution model applies
• Self-referrals are not eligible for commission
• You can track referrals and earnings in your affiliate dashboard

6. Commission Adjustments

Commissions may be adjusted or reversed for:

• Refunded or chargebacked transactions
• Fraudulent or suspicious referrals
• Violations of this Agreement
• Referred customers who cancel within refund period

7. Intellectual Property

We grant you a limited, non-exclusive license to use HTP Systems logos and approved marketing materials solely for promoting the affiliate program. You may not modify our trademarks or create derivative works without permission.

8. Termination

By You: You may leave the program at any time. Unpaid commissions above the minimum threshold will be paid in the next payment cycle.

By Us: We may terminate your affiliate status for:

• Violation of this Agreement
• Fraudulent or unethical promotional practices
• Inactive account (no referrals for 12+ months)
• Any reason at our discretion with 30 days notice

Upon termination, your affiliate links will be deactivated and unpaid commissions may be forfeited if termination is due to fraud or Agreement violation.

9. Relationship of Parties

You are an independent contractor, not an employee, partner, or agent of AEO Agency LLC. You are responsible for your own taxes and have no authority to bind us to any agreements.

10. Limitation of Liability

Our liability to you is limited to unpaid commissions properly earned under this Agreement. We are not liable for indirect, incidental, or consequential damages arising from your participation in the affiliate program.

11. Modification of Terms

We may modify this Affiliate Agreement at any time. Changes will be communicated via email and/or your affiliate dashboard. Continued participation after changes constitutes acceptance.

1. Subscription Refunds

Initial Subscription (First 14 Days)

• Full refund available within 14 days of first payment
• No questions asked
• Contact support to request refund
• Access terminates upon refund processing

Recurring Subscriptions (After 14 Days)

• Recurring payments are non-refundable
• You may cancel anytime to prevent future charges
• Access continues until end of current billing period
• No prorated refunds for partial months

2. Usage-Based Fees

The following are NOT refundable:

• SMS/text message fees
• Phone system usage charges
• Email overage fees
• AI credit usage
• Any consumption-based charges

3. Custom Services & Done-For-You Work

• 50% deposit required before work begins (non-refundable)
• Remaining balance due upon completion
• No refunds after project kickoff
• Scope changes may incur additional fees

4. Enterprise Plans

Enterprise subscriptions are governed by individual contract terms. Refund eligibility is specified in your Enterprise agreement.

5. Chargebacks

If you dispute a charge with your bank or credit card company without first contacting us:

• Your account will be immediately suspended
• We will provide transaction documentation to the payment provider
• Accounts terminated for chargebacks are not eligible for refunds
• You may be responsible for chargeback fees

6. Promotional Pricing

If you purchased at a discounted or promotional rate:

• Refunds are calculated at the amount actually paid
• Special offers may have modified refund terms (disclosed at purchase)

7. Termination for Violation

If your account is terminated due to Terms of Service violations:

• No refund will be provided
• Any pending commissions may be forfeited
• Data may be deleted immediately
